Part 1

Governance & Compliance Review

An independent examination of governance arrangements, statutory and regulatory compliance, corporate records, reporting obligations and current board practices.

Scope of work

  • Compliance with the CATSI Act and applicable ORIC requirements
  • ACNC and ATO obligations, including charity registration, tax concessions and DGR endorsement
  • The registered Rule Book and the extent to which current practice is consistent with it
  • Board and member meeting processes, resolutions, delegations, registers and corporate records
  • Financial reporting, audit, conflict-of-interest and related-party governance arrangements
  • Identification of compliance gaps, governance weaknesses, immediate priorities and matters requiring further advice

Deliverables

  • Governance Diagnostic Workbook recording every question considered, documents reviewed, findings, risks, actions and responsibilities
  • Day 1 Document & Evidence Register tracking all records requested, received and verified
  • Issues & Remediation Actions register with risk ratings, owners and due dates
  • Final report to the Board setting out principal findings, priorities and recommendations

Part 2

Ongoing Compliance Management

Dedicated compliance management support for the Chair, Board and management, maintaining effective governance and a reliable corporate record.

Scope of work

  • Advice and support to the Chair on Board processes and governance matters
  • Preparation and coordination of Board and committee agendas and papers
  • Attendance at Board meetings and preparation of minutes
  • Maintenance of Board resolutions, decisions and action registers
  • Maintenance of the governance and compliance calendar
  • Oversight of corporate registers and key governance records
  • Monitoring implementation of agreed governance and compliance actions
  • Assistance with routine ORIC, ACNC and ATO governance and reporting requirements
  • Liaison with management and external advisers where appropriate
  • Periodic reporting to the Chair and Board on outstanding governance and compliance matters

The scope of the review may be refined as records and practices are examined and further issues become apparent. Each engagement is tailored to the corporation's size and complexity, with a proposal provided after an initial confidential discussion.

The 10-day diagnostic sprint

A disciplined sequence that moves from evidence to findings to a Board-ready report — without tying up your team for months.

  1. Day 1

    Document & evidence request

    The 25-item Document & Evidence Register is issued and tracked — Rule Book, ORIC and ACNC extracts, registers, minutes, financials, grants and related-party records.

  2. Days 2–3

    Classification & regulatory baseline

    Financial year, revenue, CGOI and controlled entities established; ORIC reporting tier, ACNC obligations and ATO/DGR endorsement confirmed.

  3. Days 4–6

    Governance testing

    Board composition, director eligibility and Director IDs, Rule Book alignment, membership registers, meetings, resolutions and delegations tested against evidence.

  4. Days 7–8

    Finance, grants & related parties

    Reporting, audit, KMP remuneration, grants and restricted funds, interests, conflicts and connected organisations assessed and risk rated.

  5. Day 9

    Issues, risks & actions

    Findings converted into rated issues with required actions, owners and due dates in the remediation register; immediate items escalated to the Chair.

  6. Day 10

    Board report

    Comprehensive Board report delivered with principal findings, priorities and recommendations, supported by the completed Workbook.
